This week we hosted Andrés Bustillo, CEO of Electrolab Medic, a medical supplies and equipment company founded in El Salvador in 1992 by his parents and now operating 25 retail stores and a hospital equipment division with 220 employees. What Andrés shared was not a planned handover. It was a decade of governance failures, a corporate takeover of his own family business, and a reconciliation no one saw coming.

Below, we have captured the five moments that defined this succession, along with the thinking behind each one. The story has a happy ending. Getting there was not straightforward.
01. When control becomes the ceiling
Electrolab Medic grew steadily through the 1990s and 2000s, and as it did, a structural problem grew with it. Every decision, every check, every hire ran through a single person: Andrés's mother, the company's sole administrator. All three siblings worked in the business as adults, each running a distinct division, each capable. None had real authority. His description of the dynamic was precise: when a business is small, one person can hold everything. When it scales, that same concentration becomes a restrictor, not a safeguard. The business had outgrown its governance before anyone had named the problem.

02. The board that almost worked
The siblings' first attempt at reform came opportunistically. A conflict between the parents gave them an opening, and they used it to propose a board of directors, inviting their mother to serve as president. For a period, it worked: their brother Juan became CEO, the family operated with new coherence, and a family enterprise attorney advised them that without equitable equity distribution, the structure would eventually fail. That advice was not acted on. Within a year, their parents returned as an "operational board," removed Juan from his role, and resumed issuing instructions by letter. The governance structure had no real foundation without aligned ownership behind it, and it collapsed under the first serious pressure.
For your family: Does your family have a shared, written understanding of what authority your board holds versus what the founders retain? Does the equity structure support or contradict those agreements?
03. The one constant: sibling solidarity
Over five years of sustained hostility from the parents' operational board, Andrés and his brother Juan held one explicit agreement: focus on each other's strengths, not each other's weaknesses. When Juan, pushed to a breaking point, locked the company's IT systems and effectively sent operations back to manual, Andrés left with him. They had been maneuvered into a position where separation would have finished both of them. Together, they restored system access within a week, negotiated a non-aggression agreement, and accepted that their parents had retained control. Then they left the company, on the same day, by mutual choice. Their leadership coach had said it clearly: you cannot be separated. They were not.

04. The takeover: when negotiation reaches its limit
The breaking point came when Andrés's mother, disagreeing with a financial decision, had his banking access revoked the same afternoon she left a meeting angry. He gathered his siblings and told them plainly: their parents would take back full control, and the business would not survive it. He tried three more direct conversations with his mother, offering permanent dividend rights, a lifetime salary, and a governance role. Her answer each time was the same: she wanted to control her company. When Andrés finally executed a legal restructuring, using a sister company whose boards the three siblings collectively controlled, every manager in the organization had been informed in advance and given an explicit choice. Of 200 employees, one declined to stay. His father sent a threatening message. Andrés presented the legal contract and offered to resolve the matter in court. There was a week of silence.

05. The sale, the signature, and the conversation after
The call that broke the silence was from his mother: she wanted to sell the business to an outside buyer. Andrés's response was methodical. He explained that without him as CEO, the commercial value would drop, and that buying from him directly was the better option. He walked her through business valuation from scratch, EBITDA multiples, the gap between emotional attachment and market price. They agreed on a number, and the following morning he put three options on his kitchen table: 51%, 90%, or 100%. She chose 100%, signed the paperwork that same Friday afternoon, and embraced him afterward. He cried, not from relief, but because the succession he had imagined, a voluntary handover with pride and intention, had never happened. What did happen, instead, was that his mother told him privately she had sold because the attachment to control had been making her suffer. Today he described having the best relationship with his parents in thirty years.

What this story teaches us about succession
The Electrolab Medic story is extreme in its particulars and ordinary in its structure. A founder who could not let go. Children who were capable but whose authority was always provisional. A governance conversation that came too late and without the equity alignment to give it meaning. A crisis that produced the clarity no conversation had managed to reach. These are not unusual ingredients.
What is less common is the ending. Andrés's mother reached her own conclusion: the cost of holding on had exceeded the value of holding on. No negotiation produced that insight. Time and consequence did. For families navigating similar dynamics, the difficult truth is that you cannot always accelerate that realization in someone else. What you can do is stay prepared, stay unified, and stay capable so that when the moment comes, you are ready to move.
